Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Moroo ("Company," "we," "us," or "our") governing your access to and use of the Moroo mobile application ("App") and any related services, features, or content offered by Moroo (collectively, the "Services").

BY DOWNLOADING, INSTALLING, OR USING THE APP, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE TO THESE TERMS IN THEIR ENTIRETY, YOU ARE NOT AUTHORIZED TO USE THE APP AND MUST IMMEDIATELY UNINSTALL AND DISCONTINUE USE.

Section 1 — Eligibility and Acceptance

1.1 Age Requirement

You must be at least 13 years of age to download and use Moroo. If you are between the ages of 13 and 18, you represent that your parent or legal guardian has reviewed and agreed to these Terms on your behalf. By using Moroo you represent and warrant that you meet the applicable age requirements.

1.2 Legal Capacity

By agreeing to these Terms you represent that you have the legal capacity to enter into a binding agreement. If you are using Moroo on behalf of an organization or entity, you represent that you have the authority to bind that organization to these Terms.

1.3 Updates to Eligibility

We reserve the right to modify eligibility requirements at any time. Continued use of the App after any such modification constitutes your acceptance of the updated eligibility requirements.

Section 2 — Description of Service

2.1 App Purpose

Moroo is a minimalist morning routine timer application designed to help individuals build structured, distraction-free morning habits. The App allows users to create custom timed task sequences, execute those sequences with a single action, and track consistency through streak and statistics features.

2.2 Service Availability

Moroo is available for download through Apple's App Store on devices running iOS 15.0 or later. We do not guarantee availability of the App or any specific feature at any particular time. We reserve the right to modify, suspend, or discontinue any aspect of the Services at any time with or without notice.

2.3 No Medical or Therapeutic Claims

Moroo is a productivity tool only. Nothing in the App constitutes medical, psychological, therapeutic, or clinical advice. Results from using the App will vary between individuals and we make no guarantees regarding specific outcomes from using Moroo's features.

2.4 Feature Changes

We reserve the right to add, modify, or remove features at any time. Features available in the free tier or Pro subscription may change over time. We will make reasonable efforts to notify users of significant feature changes.

Section 3 — User Accounts and Data

3.1 No Account Required

Moroo does not currently require users to create an account. All routine data, preferences, streak history, and survey responses are stored locally on your device using your device's secure local storage.

3.2 Data Responsibility

Because your data is stored locally on your device, you are solely responsible for maintaining the security and integrity of your device. We are not responsible for any loss, corruption, or unauthorized access to your data resulting from device loss, theft, damage, operating system failure, or any other cause beyond our reasonable control.

3.3 Data Backup

We strongly recommend that you maintain regular backups of your device through iCloud or iTunes. Deleting and reinstalling the App may result in permanent loss of your locally stored data. We are not liable for any data loss resulting from App deletion or reinstallation.

3.4 Onboarding Survey Data

During onboarding, Moroo collects survey responses including your first name, age range, and lifestyle preferences. This data is stored locally on your device and used solely to personalize your in-app experience. We do not transmit, sell, or share this data with third parties. Please refer to our Privacy Policy for full details on data handling.

3.5 Children's Privacy

We do not knowingly collect personal information from children under the age of 13. If we become aware that a child under 13 has provided us with personal information we will take steps to delete such information. If you believe a child under 13 has used Moroo, please contact us immediately at support@moroo.app.

Section 4 — Subscriptions, Payments, and Billing

4.1 Free Tier

Moroo offers a permanently free tier that includes access to one morning routine of up to five timed blocks and seven days of streak tracking. The free tier does not require payment information and has no expiration date.

4.2 Moroo Pro Subscription

Moroo offers a paid Pro subscription that unlocks the full feature set of the App, including unlimited routines and blocks, full streak history and insights, custom sounds and themes, home screen widget support, and smart morning reminders. Pro is available in two billing options:

4.3 Payment Processing

All payments are processed exclusively through Apple's App Store payment system. By subscribing to Moroo Pro you agree to Apple's payment terms and conditions in addition to these Terms. We do not collect, store, or have access to your payment information at any time.

4.4 Automatic Renewal

Subscriptions automatically renew at the end of each billing period unless cancelled. For monthly subscribers, renewal occurs every 30 days. For annual subscribers, renewal occurs every 365 days. Your Apple ID account will be charged for renewal within 24 hours prior to the end of the current billing period.

4.5 Cancellation

You may cancel your subscription at any time through your Apple ID account settings. Cancellation takes effect at the end of the current billing period. You will retain access to Pro features until the end of the period for which you have already paid. We do not offer prorated refunds for unused portions of a subscription period.

4.6 Price Changes

We reserve the right to change subscription pricing at any time. We will provide reasonable advance notice of any price changes through the App or by email if applicable. Your continued use of the Pro subscription after a price change constitutes your acceptance of the new pricing.

4.7 Refunds

All refund requests are handled by Apple in accordance with their standard refund policy. We do not process refunds directly. To request a refund please visit Apple's Report a Problem page at reportaproblem.apple.com.

Section 5 — Free Trials

5.1 Trial Eligibility

Moroo may offer free trial periods for the Pro subscription. Free trials are available to new Pro subscribers only. Each Apple ID is eligible for one free trial per subscription type. We reserve the right to determine eligibility for free trials at our sole discretion.

5.2 Trial Duration

Trial periods are as follows:

5.3 Automatic Conversion

If you do not cancel your free trial before the trial period ends, your subscription will automatically convert to a paid subscription and your Apple ID payment method will be charged the applicable subscription fee. You will not receive a separate notice when your free trial ends.

5.4 Trial Cancellation

You may cancel your free trial at any time through your Apple ID account settings without being charged. Cancellation of a free trial takes effect immediately and you will lose access to Pro features at the time of cancellation.

Section 6 — Acceptable Use

6.1 Permitted Use

Moroo is licensed to you for personal, non-commercial use only. You may use the App solely for its intended purpose of building and executing personal morning routines.

You agree not to engage in any of the following prohibited activities:

We reserve the right to terminate your access to the App immediately and without notice if we determine, in our sole discretion, that you have violated any provision of these acceptable use terms.

Section 7 — Intellectual Property

7.1 Ownership

The App and all of its content, features, and functionality — including but not limited to all text, graphics, illustrations, icons, sounds, animations, code, and design — are owned by Moroo and its creators and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws.

7.2 Limited License

We grant you a limited, non-exclusive, non-transferable, revocable license to download and use the App on your personal iOS device solely for your personal, non-commercial use in accordance with these Terms. This license does not include any right to sublicense, modify, adapt, translate, reverse engineer, or create derivative works based on the App or its content.

7.3 Trademarks

The Moroo name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Moroo and its creators. You may not use such marks without our prior written permission.

7.4 Feedback

If you submit ideas, suggestions, or feedback about the App ("Feedback"), you grant us a perpetual, irrevocable, worldwide, royalty-free license to use, copy, modify, and incorporate that Feedback into the App or our other products and services without any obligation or compensation to you.

Section 8 — Disclaimer of Warranties

8.1 As-Is Basis

THE APP IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

8.2 No Guarantee of Results

WE DO NOT WARRANT THAT THE APP WILL MEET YOUR REQUIREMENTS, THAT THE APP WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, THAT THE RESULTS OBTAINED FROM USE OF THE APP WILL BE ACCURATE OR RELIABLE, OR THAT ANY ERRORS IN THE APP WILL BE CORRECTED.

8.3 Third Party Services

The App relies on third party services including Apple's App Store and payment processing infrastructure. We are not responsible for the availability, accuracy, or reliability of any third party services.

Section 9 — Limitation of Liability

9.1 Exclusion of Damages

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL MOROO, ITS CREATORS, OFFICERS, EMPLOYEES, AGENTS, PARTNERS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF DATA, LOSS OF GOODWILL, SERVICE INTERRUPTION, COMPUTER DAMAGE, SYSTEM FAILURE, OR THE COST OF SUBSTITUTE PRODUCTS OR SERVICES, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR YOUR USE OF OR INABILITY TO USE THE APP, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

9.2 Liability Cap

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF THE APP SHALL NOT EXCEED THE GREATER OF (A) THE TOTAL AMOUNT YOU PAID TO US IN THE TWELVE MONTHS PRECEDING THE CLAIM OR (B) ONE HUNDRED DOLLARS ($100.00 USD).

9.3 Basis of Bargain

YOU ACKNOWLEDGE THAT THE LIMITATIONS OF LIABILITY IN THIS SECTION ARE AN ESSENTIAL ELEMENT OF THE AGREEMENT BETWEEN YOU AND MOROO AND THAT MOROO WOULD NOT PROVIDE THE APP WITHOUT THESE LIMITATIONS.

Section 10 — Indemnification

You agree to defend, indemnify, and hold harmless Moroo and its creators, officers, employees, agents, and partners from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or in any way connected with your access to or use of the App, your violation of these Terms, or your violation of any rights of any third party.

Section 11 — Termination

11.1 Termination by You

You may terminate your agreement with these Terms at any time by deleting the App from your device and, if applicable, cancelling your Pro subscription through your Apple ID account settings.

11.2 Termination by Us

We reserve the right to suspend or terminate your access to the App at any time and for any reason, including but not limited to your violation of these Terms, without notice and without liability to you.

11.3 Effect of Termination

Upon termination all rights granted to you under these Terms will immediately cease. Sections of these Terms that by their nature should survive termination shall survive, including but not limited to Sections 7, 8, 9, 10, and 12.

Section 12 — Governing Law and Dispute Resolution

12.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, United States of America, without regard to its conflict of law provisions.

12.2 Informal Resolution

Before filing any formal legal claim, you agree to first contact us at support@moroo.app and attempt to resolve the dispute informally. We will attempt to resolve the dispute within 30 days of receiving your notice.

12.3 Arbitration

If informal resolution fails, any dispute, claim, or controversy arising out of or relating to these Terms or the breach thereof shall be determined by binding arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules. The arbitration shall take place in Los Angeles, California. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

12.4 Class Action Waiver

YOU AND MOROO AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE ACTION.

12.5 Exceptions

Nothing in this Section shall prevent either party from seeking injunctive or other equitable relief from a court of competent jurisdiction where necessary to prevent irreparable harm.

Section 13 — Changes to Terms

We reserve the right to modify these Terms at any time at our sole discretion. When we make changes we will update the "Last Updated" date at the top of this document. For material changes we will make reasonable efforts to notify you through the App or by other means. Your continued use of the App after any changes to these Terms constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms you must stop using the App.

Section 14 — Miscellaneous

14.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Moroo with respect to the App and supersede all prior agreements, understandings, and communications between you and Moroo relating to the App.

14.2 Severability

If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect.

14.3 Waiver

Our failure to enforce any right or provision of these Terms shall not be considered a waiver of those rights. Any waiver of any provision of these Terms will be effective only if in writing and signed by an authorized representative of Moroo.

14.4 Assignment

You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations under these Terms without restriction.

14.5 No Third Party Beneficiaries

These Terms are for the sole benefit of the parties hereto and their respective successors and permitted assigns and nothing herein, express or implied, is intended to or shall confer upon any other person or entity any legal or equitable right, benefit, or remedy of any nature whatsoever under or by reason of these Terms.

14.6 Force Majeure

We shall not be liable for any delay or failure to perform resulting from causes outside our reasonable control, including but not limited to acts of God, war, terrorism, natural disasters, pandemics, government actions, or failures of third party services including Apple's App Store infrastructure.
